Rachel has over 20 years’ experience in general & legal counsel, directorships, driving strategic growth initiatives, cross-border tax planning, financing and acquisition transactions, corporate governance and risk management. She is currently a Governance Consultant with Watson Inc., Canada’s largest governance consultancy firm. Rachel is also a director and audit committee member of the board of directors for Decisive Dividend Corporation, a TSXV-listed company which acquires stable, successful manufacturing companies in Western Canada.
Prior to Watson, Rachel served as BC Regional Leader of Simplex Legal LLP, a national boutique law firm offering out-sourced in-house counsel to corporate clients across Canada. Rachel also served as the Chief Legal Officer and Corporate Secretary of Alaris Royalty Corp, a TSX-listed company providing alternative financing to private companies across North America in exchange for royalties or distributions. Here, Rachel spearhead the legal and tax teams to negotiate and finalize agreements for investments of over $800 million of invested capital, and was an instrumental member and advisor to executive management, implementing strategic objectives, and designing the corporate governance and risk management program. Rachel was also a member of the boards of directors of several Alaris subsidiaries.
Rachel spent her formative career years at both a large, full-service law firm and a boutique tax and estate planning firm in Calgary, where she developed a tax legal practice acting for corporations and their owners. She obtained her Bachelor of Laws from the University of Alberta and was called to the Alberta Bar in 1997. She also holds a Bachelor of Commerce in Accounting Concentration from the University of Calgary. Rachel is a member of the law societies of British Columbia and Alberta, and is also a member of the Canadian Bar Association, the Institute of Corporate Directors, Women in Capital Markets, Governance Professionals of Canada, and the Canadian Tax Foundation. Rachel currently sits on the Investment Steering Committee for the Canadian Bar Association and the steering committee for the Vancouver chapter of Women in Capital Markets. She is also a certified Trusts & Estates Practitioner and has recently completed the ICD-Rotman Director’s Education Program.
